United States : EXPIRATION of HSR waiting period for Vitesse tender offer declared by Microsemi

Microsemi Corp of Aliso Viejo, CA, USA (which designs and makes analog and RF devices, mixed-signal integrated circuits and subsystems for communications, defense & security, aerospace and industrial markets) has declared the expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act (HSR Act) applicable to its planned acquirement of Vitesse Semiconductor Corp of Camarillo, CA, USA through its subsidiary LLIU100 Acquisition Corp.
LLIU100 Acquisition Corp on 31 March started a cash tender offer to purchase all of the outstanding shares of Vitesse's common stock for $5.28 per share. The expiration of the HSR Act waiting period satisfies one of the conditions of the tender offer.
Completion of the tender offer remains dependent on certain other conditions, as described in the tender offer statement filed by Microsemi on 31 March.
