United States : ULTRA CLEAN HOLDINGS and AMERICAN INTEGRATION TECHNOLOGIES ink collaboration deal

Ultra Clean Holdings Inc (UCTT) announced that it has inked a collaboration deal with American Integration Technologies, LLC d/b/a Advanced Integration Technologies (AIT)
As per the deal, UCTT will pay a purchase price of about $99 million, including expiration or termination of the waiting period under the Hart Scott Rodino Act.
It is expected that the transaction will be completed on June 30, 2012.
The consideration, which is subject to a post-closing balance sheet adjustment, would include $74 million cash and 4.5 million shares of UCTT.
The collaboration will help UCTT to further expand its capabilities, adds new customer relationships in its target markets, and expands its network with its existing customers.
